These Terms of Service ("Terms") constitute a legally binding agreement between you and Maywei LLC ("Maywei," "we," "us," or "our"), a Florida limited liability company. By accessing or using Maywei Hub, you agree to these Terms. If you do not agree, do not use our services.
These Terms incorporate our Privacy Policy and Cookie Policy by reference.
1. Eligibility
- You must be at least 18 years old.
- You must have the legal authority to enter into this agreement.
- If you are acting on behalf of a business, you must be authorized to bind that entity to these Terms.
- You must not be located in a jurisdiction where use of our services is prohibited.
- You must not appear on any government sanctions list, including the U.S. Office of Foreign Assets Control (OFAC) list.
2. Account Registration
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials.
- You must promptly update your information if it changes.
- You may not create more than one account per person or entity unless authorized by Maywei.
- You must not share your account credentials with others.
3. Services
Maywei Hub provides:
- Customer onboarding with identity verification (KYC) via Bridge Financial, Inc.
- Cryptocurrency wallet creation and management (USDT and USDC on supported blockchain networks)
- Payment processing: deposit cryptocurrency to your wallet to pay outstanding invoices
- Automated payment-to-invoice matching (first-in, first-out)
- Invoice management and reconciliation
Maywei is not a bank, financial institution, money transmitter, cryptocurrency exchange, or investment platform. Bridge Financial, Inc. provides the payment rails and wallet infrastructure.
4. KYC and Compliance
- You must complete identity verification (KYC) through Bridge Financial, Inc. before accessing payment features.
- You must accept Bridge's Terms of Service as part of the onboarding process.
- You must provide truthful and accurate information during verification.
- Maywei reserves the right to suspend accounts that fail verification or trigger compliance flags.
- You must not use the platform for money laundering, terrorist financing, sanctions evasion, or any illegal activity.
5. Payments and Transactions
- Payments are made in USDT or USDC stablecoins on supported blockchain networks.
- You are responsible for sending the correct amount to the correct wallet address.
- Blockchain transactions are irreversible. Maywei cannot reverse or cancel a completed on-chain transaction.
- Payments are matched to invoices using a first-in, first-out (FIFO) method.
- Maywei does not guarantee the value of any cryptocurrency. Stablecoin values may fluctuate.
- Maywei does not currently charge fees for its services. If fees are introduced in the future, you will be notified in advance.
- Excess deposits are held as account credit and applied to future invoices.
6. Prohibited Uses
You must not:
- Provide false or misleading information during onboarding or identity verification
- Use the platform for money laundering, fraud, or any illegal activity
- Attempt to circumvent identity verification or compliance controls
- Process transactions on behalf of undisclosed third parties
- Interfere with or disrupt the platform's infrastructure
- Attempt to gain unauthorized access to other users' accounts or data
- Use automated tools to scrape, crawl, or extract data from the platform
7. Intellectual Property
- Maywei Hub, its logo, and related marks are the property of Maywei LLC.
- You retain ownership of documents and data you upload to the platform.
- You grant Maywei a limited license to use your uploaded content solely for the purpose of providing the services.
- You must not copy, modify, or distribute Maywei's software or content.
8. Third-Party Services
The platform integrates with third-party services, including Bridge Financial, Inc. for identity verification and payment processing. Maywei is not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party services is governed by those services' own terms and privacy policies. If a third-party service becomes unavailable, Maywei's obligation is limited to reasonable efforts to restore functionality.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MAYWEI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAYWEI DOES NOT WARRANT THAT:
- The services will be uninterrupted or error-free
- Blockchain data or third-party information will be accurate
- Cryptocurrency values will remain stable
- The platform will meet all of your requirements
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MAYWEI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO MAYWEI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
MAYWEI IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
MAYWEI IS NOT LIABLE FOR LOSSES CAUSED BY BLOCKCHAIN NETWORK FAILURES, CRYPTOCURRENCY VALUE CHANGES, THIRD-PARTY SERVICE OUTAGES, USER ERROR IN SENDING FUNDS TO INCORRECT ADDRESSES, OR FORCE MAJEURE EVENTS.
11. Indemnification
You agree to indemnify, defend, and hold harmless Maywei and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your misuse of the platform
- Your infringement of any third-party rights
12. Dispute Resolution and Arbitration
Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Binding Arbitration: Any dispute, claim, or controversy arising from or related to these Terms or the services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the State of Florida, or remotely if both parties agree.
Class Action Waiver: You agree to resolve disputes with Maywei on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.
Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for intellectual property violations or to prevent imminent, irreparable harm.
13. Termination
- You may close your account at any time by contacting privacy@maywei.com.
- Maywei may suspend or terminate your account at its sole discretion, with or without cause, upon reasonable notice.
- Upon termination, your access to the platform is revoked. Any outstanding obligations survive termination. Your data is retained as required by applicable law.
- The following sections survive termination: Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and any accrued obligations.
14. Modifications
Maywei may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Your continued use of the services after notice of changes constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using the services and close your account.
15. General Provisions
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
- Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Maywei regarding your use of the services.
- No Waiver:Maywei's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign your rights or obligations under these Terms. Maywei may assign its rights in connection with a merger, acquisition, or sale of assets.
